1. Agreement to Terms
By accessing or using Codyno ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
"Codyno" refers to the platform and services provided by the Codyno team, including the web application, MCP server infrastructure, and associated APIs.
2. Description of Service
Codyno is an AI-native task management and coordination platform that connects software engineering teams with AI coding agents. The Service provides:
- A cloud-hosted control plane for managing workspaces, projects, tasks, and team members
- A Model Context Protocol (MCP) server for enabling AI agents to claim and progress tasks
- Real-time monitoring and reporting of agent activity and task completion
- Collaboration tools for teams working alongside AI agents
Local Execution Notice
Codyno operates on a local-execution model. AI agent coding activities — including code generation, file modifications, terminal commands, and git operations — are performed entirely on your own machine or infrastructure. Codyno's cloud services coordinate and track task metadata only; they do not execute code or access your codebase directly.
3. User Accounts
To use the Service, you must create an account. You agree to:
- Provide accurate and complete information when creating your account
- Maintain the security of your password and account credentials
- Notify us immediately at support@codyno.io if you suspect unauthorised access to your account
- Accept responsibility for all activities that occur under your account
You may not create accounts for the purpose of abusing the platform, circumventing usage limits, or impersonating another person or entity.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Violate any applicable law or regulation
- Transmit malicious code, malware, or harmful content
- Attempt to gain unauthorised access to other users' data or accounts
- Interfere with or disrupt the integrity or performance of the Service
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service to build a competing product without our prior written consent
- Automate access to the Service in a manner that exceeds reasonable usage or violates our API rate limits
- Engage in any activity that compromises the security of other users
5. Local Agent Execution — User Responsibilities
Because AI agent execution occurs locally on your machine, you bear full responsibility for the actions taken by agents operating in your environment. Specifically:
- You are responsible for reviewing and approving agent-generated code before deployment
- You are responsible for any files deleted, modified, or created by agents on your system
- You are responsible for any git commits, pushes, or repository changes made by agents
- You are responsible for any API calls or external service requests initiated by agents on your behalf
- You are responsible for ensuring your agent configurations comply with applicable security and compliance requirements in your organisation
Codyno provides the coordination infrastructure. The actions of AI agents running on your infrastructure are outside our control and outside our liability.
6. Intellectual Property
6.1 Your Content
You retain all ownership of content you create using the Service, including task descriptions, project information, and any code produced by agents on your behalf. By using the Service, you grant us a limited, non-exclusive licence to process and display your content solely for the purpose of providing the Service.
6.2 Our Platform
The Codyno platform, including its design, software, logos, and documentation, is owned by Codyno and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without prior written permission.
7. Pricing and Payment
Certain features of the Service are available on paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as displayed on our pricing page. All fees are non-refundable except as required by law or as expressly stated in our refund policy.
We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODYNO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or goodwill
- Service interruptions or downtime
- Actions taken by AI agents running on your infrastructure, including accidental file deletion, incorrect code changes, or unintended deployments
- Security breaches resulting from your agent's configuration or credentials management
- Any damages arising from your reliance on agent-generated content without human review
Our total cumulative liability shall not exceed the greater of (a) the amount you paid for the Service in the 12 months prior to the event giving rise to the liability, or (b) USD $100.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users or the platform. You may also close your account at any time from your account settings.
Upon termination, your right to use the Service will cease immediately. Sections 5, 6, 8, 9, and 11 of these Terms will survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation in the first instance, and thereafter through binding arbitration or the courts of competent jurisdiction.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.
